These Terms and Conditions govern the provision of consultancy and technical services by Consulting-Connect Ltd (Company Number: 15637086), registered in England and Wales, with registered office at 368 Fen Street, Brooklands, Milton Keynes MK10 7JR, United Kingdom ("Consulting-Connect", "we", "us", "our") to the client ("Client", "you").
By engaging our services or accepting a proposal, you agree to be bound by these Terms and Conditions.
1. Definitions
"Services" means the consultancy, engineering, design and technical advisory services agreed between Consulting-Connect and the Client as set out in the relevant Proposal or Statement of Work.
"Deliverables" means any reports, designs, studies, drawings, calculations or other outputs produced by Consulting-Connect in connection with the Services.
"Proposal" means any written proposal, quotation or statement of work issued by Consulting-Connect to the Client.
2. Provision of Services
Consulting-Connect shall provide the Services using reasonable skill and care in accordance with good professional engineering practice and applicable standards including, where relevant, IEC, BS and ENA standards.
We reserve the right to sub-contract any part of the Services to suitably qualified professionals. We remain responsible for the quality of sub-contracted work.
The Client shall provide in a timely manner all information, access, and assistance reasonably required by Consulting-Connect to perform the Services. We shall not be liable for delays or errors arising from inaccurate or incomplete information provided by the Client.
3. Fees and Payment
Fees shall be as agreed in the relevant Proposal. Unless otherwise stated, fees are quoted exclusive of VAT, which shall be added at the applicable rate.
Invoices are payable within 30 days of the invoice date. Consulting-Connect reserves the right to charge interest on overdue amounts at 8% above the Bank of England base rate per annum under the Late Payment of Commercial Debts (Interest) Act 1998.
Consulting-Connect may suspend or cease provision of the Services if payment is not received within 45 days of the invoice date.
4. Intellectual Property
All intellectual property rights in the Deliverables shall remain vested in Consulting-Connect until full payment of all fees has been received, at which point a non-exclusive licence to use the Deliverables for the purpose for which they were commissioned is granted to the Client.
The Client shall not reproduce, distribute or make available Deliverables to third parties without prior written consent from Consulting-Connect.
5. Confidentiality
Both parties agree to keep confidential all information disclosed by the other party that is identified as confidential or would reasonably be understood to be confidential, and shall not disclose such information to any third party without prior written consent, except as required by law.
6. Liability
Our liability to you in connection with any Services shall not exceed the fees paid to us for those specific Services. We exclude all liability for indirect, consequential or economic loss.
Nothing in these Terms and Conditions limits our liability for death, personal injury caused by our negligence, fraud, or any other matter for which liability cannot be legally excluded.
The Deliverables are prepared for the specific purpose and Client identified in the Proposal. Consulting-Connect accepts no liability to any third party who relies on the Deliverables.
7. Termination
Either party may terminate the engagement by giving 30 days' written notice. The Client shall pay for all Services rendered and reasonable costs incurred up to the date of termination.
Consulting-Connect may terminate immediately if the Client is in material breach of these Terms and Conditions and fails to remedy such breach within 14 days of written notice.
8. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Variations
No variation to these Terms and Conditions shall be binding unless agreed in writing by an authorised representative of Consulting-Connect.
